Licenční smlouva na Fontový software
Preambule:
Tato licenční smlouva na Fontový software se stává právně závaznou
smlouvou mezi držitelem licence a společností Linotype Library GmbH,
pokud držitel licence souhlasí s Podmínkami pro elektronický způsob
doručení nebo pokud zakoupí Fontový software na paměťovém médiu
a otevře balení s obsahem řezů písma.
Pokud držitel licence odmítne přijmout smluvní závazek vzniklý
prostřednictvím této licenční smlouvy, bude mu odmítnut přístup,
použití, nebo stažení Fontového software. Držitel licence by si měl před
vyjádřením souhlasu s podmínkami této licenční smlouvy celou licenční
smlouvu podrobně a pečlivě prostudovat.
Článek 1
Licence a právo na užívání
1.1 Fontový software, který je předmětem této smlouvy, je duševním
vlastnictvím společnosti Heidelberger Druckmaschinen AG a/nebo
jejích poskytovatelů licence.
Společnost Heidelberger Druckmaschinen AG poskytla oprávnění
společnosti Linotype Library GmbH k výhradnímu prodeji, distribuci a
udělování licence na tato práva. Termín »Fontový software« zahrnuje
jakékoliv a veškeré aktualizace, upgrade, rozšíření, změněné verze a
pracovní kopie Fontového software, na který držitel licence, tj. fyzická
osoba, právnická osoba, nebo (v rámci právnické osoby) dceřiná
společnost s většinovým vlastnickým podílem obdrželi příslušnou
licenci. Fontový software zůstává a zůstane, v současnosti i
v budoucnosti, majetkem společnosti Heidelberger Druckmaschinen
AG a společnosti Linotype Library GmbH.
1.2
Po úplné úhradě dohodnutého poplatku za užívání udělí
společnost Linotype Library GmbH držiteli licence nevýhradní,
nepřevoditelné právo na souběžné používání nebo uložení Fontového
software – za předpokladu, že uvedený software byl uvolněn v době
dodání nebo po uhrazení platby držitelem licence – na nejvýše pěti (5)
procesorech CPU (pracovních stanicích) v jedné geografické lokalitě,
stanovené držitelem licence. V případě, že bude nezbytné
prodloužení výše uvedeného omezení, bude držitel licence muset
zakoupit rozšířenou licenci
(viz příloha 2). Držitel licence může nainstalovat Fontový software na
jeden souborový server pro použití v jedné místní počítačové síti
(LAN), a to pouze tehdy, pokud použití takového Fontového software
bude omezeno na pracovní stanice a tiskárny, které budou součástí
licencované Jednotky, jejíž musí být server součástí.

Zaškrtněte prosím příslušný rámeček
Za účelem určení řádného počtu pracovních stanic, pro které je
vyžadována licence, je uveden následující příklad, který slouží pouze
pro ilustrační účely: Pokud je k serveru připojeno 100 pracovních
stanic, přičemž v daný okamžik používá tento Fontový software 15
pracovních stanic, ale Fontový software bude v různých časech
používán na 25 různých pracovních stanicích, pak je zapotřebí
zakoupit hromadnou licenci, vytvářející licencovanou Jednotku pro
25 pracovních stanic.
Fontový software nesmí být nainstalován ani používán na serveru,
který je přístupný prostřednictvím Internetu nebo jiného vnějšího
síťového systému (jiného systému než sítě LAN) z pracovních stanic,
které nejsou součástí licencované Jednotky.
Pokud je zamýšleno použití Fontového software pro komerční účely,
dovoluje každá jednotlivá licence jedno dodatečné použití (instalaci)
na osobním domácím nebo přenosném počítači.
Za výhradním účelem zálohování dat mohou být vytvořeny
dodatečné záložní kopie Fontového software.
1.3 Převod licence na třetí subjekt není v zásadě dovolen. Na základě
výjimky je držitel licence oprávněn převést právo na užívání a licenci na
třetí subjekt pouze při splnění všech níže uvedených podmínek: (viz
příloha 1)
Třetí subjekt držiteli licence výslovně deklaroval, že se striktně a
neomezeně podrobí a bude dodržovat podmínky této licenční smlouvy
na Fontový software. V případě převodu licence na třetí subjekt se
držitel licence zavazuje a je povinen zdržet se dalšího používání
Fontového software a bez ohledu na umístění tohoto software se
zavazuje a je povinen uvedený software vymazat a nesmí si uchovat
žádné kopie software, ať již zcela, či částečně.
1.4 Za výhradním účelem zajištění výstupu z určitých souborů je
držiteli licence dovoleno předat kopii Fontového software, která byla
použita pro vytvoření příslušného souboru, komerční tiskárně, nebo
jiné servisní společnosti. V případě jakékoliv modifikace textu musí
servisní společnost vlastnit vlastní licenci. Držitel licence je povinen
informovat komerční tiskárnu / servisní společnosti o obsahu této
Licenční smlouvy.
1.5 Začlenění Fontového software do elektronických dokumentů
nebo internetových stránek je dovoleno pouze v případech, kdy bude
bez všech pochyb zajištěno, že příjemce nebude moci Fontový
software používat pro editaci nebo vytváření nových dokumentů
(pouze pro čtení). Je nezbytné zajistit, aby Fontový software nebylo
možné z uvedených dokumentů plně ani částečně extrahovat.

1.6 Držitel licence může elektronickou formou distribuovat Fontový
software vložený do dokumentu pro »Osobní nebo Interní pracovní
použití«, pouze tehdy, pokud je Fontový software vložený do
takového dokumentu ve formě statického grafického obrazu
(například »gif«) nebo jako vložený elektronický dokument, a pokud
je distribuován v zabezpečeném formátu, který umožňuje pouze
prohlížení a tisk (a nikoliv editaci, rozšiřování, či provádění změn
nebo úprav) takového statického grafického obrazu nebo
vloženého dokumentu. Držitel licence nesmí bez samostatné
písemné licence od společnosti Linotype Library GmbH vkládat
Fontový software do komerčních produktů a nesmí vkládat Fontový
software do žádného elektronického dokumentu nebo datového
souboru z žádného jiného důvodu, než pro vlastní Osobní nebo
Interní pracovní použití.
1.7 Pokud držitel licence zamýšlí upravovat nebo měnit dokument
obsahující vložený Fontový software, musí požádat o souhlas
s takovou činností společnost Linotype Library GmbH. Linotype
Library GmbH nebo její autorizovaný prodejní a distribuční partner
následně uzavřou rozšiřující licenční smlouvu / licenční smlouvu o
vložení pro uvedený účel. Tato licenční smlouva o rozšíření /
vložení je podmíněna úhradou dodatečného poplatku.

Článek 2
Vyloučení jiného použití
2.1 Na základě ustanovení odstavců 1.3 a 1.4 uvedené smlouvy
jsou prodej, půjčování, nebo jiný druh převádění Fontového
software na třetí subjekt nebo subjekty přísně zakázány. Dále je
přísně zakázáno předávání (viz příloha 1) Fontového software jako
komponentu nebo dílčího komponentu jiných produktů, například
elektronických dokumentů nebo dílčích licencí třetímu subjektu
nebo subjektům.
2.2 Na základě ustanovení odstavců 2.3 a 2.4 této smlouvy je
zakázáno následující: měnění Fontového software, jeho slučování
s jinými softwarovými programy, zpětné sestavování, použití
modulů z uvedeného software pro vlastní vývoj, nebo použití
technických řešení obsažených ve Fontovém software pro jiné
účely, než pro provozování software na vlastních počítačích
držitele licence.
2.3 Výjimky z ustanovení odstavce 2.2 jsou povoleny pouze tehdy,
pokud jsou nezbytné pro získání zásadních informací za účelem
zajištění vzájemné spolupráce mezi software a dalšími programy a
za předpokladu, že tyto informace nejsou publikovány, ani nejsou
v žádné jiné formě zpřístupněny, a že držitel licence není schopen
získat uvedené informace od společnosti Linotype Library GmbH,
nebo od jejích autorizovaných distributorů či jmenovaných
zástupců. V takovém případě bude držitel licence společnost
Linotype Library GmbH písemně informovat o tom, u kterých částí
software držitel licence provádí rozklad.
2.4 Modifikace Fontového software jsou zakázány, a to i
v případech, kdy je toto nezbytné pro naplnění osobních
designových požadavků. Pokud držitel licence chce provést změny,
musí si vyžádat souhlas a povolení od společnosti Linotype Library
GmbH. Nesplněním tohoto ustanovení ztrácí držitel licence právo
na jakoukoliv a veškerou podporu a záruky, poskytované
společností Linotype Library GmbH a takové nesplnění představuje
porušení této licenční smlouvy.
Dále, pokud držitel licence nebo třetí subjekt nebo subjekty
provedou změny Fontového software bez ohledu na zákaz
provádění takových změn, stává se společnost Linotype Library
GmbH vlastníkem takto změněných dat.
Výslovně je zakázáno jakýmkoliv způsobem nebo formou
upravovat nebo měnit názvy fontů / ochranné známky, používané
jako identifikační štítky ve Fontovém software.
Pokud se takové změny nebo úpravy stanou nezbytnými, je
nezbytné vyžádat si předchozí písemný souhlas od společnosti
Linotype Library GmbH.

Záruka a odpovědnost
3.1 Po obdržení Fontového software držitelem licence poskytuje
společnost Linotype Library GmbH 90-denní záruku toho, že
Fontový software je v podstatě bez závažných vad a že je
v souladu s Dokumentací. Pro vznesení nároku v rámci záruky
musí držitel licence vrátit Fontový software včetně kopie
prodejního dokladu v rámci 90-denní záruční doby prodejnímu a
distribučnímu partnerovi, od kterého tento software držitel licence
získal. Pokud Fontový software nebude v podstatě bez závažných
vad v souladu s Dokumentací, bude veškerá a výhradní
odpovědnost a náhrada podle rozhodnutí společnosti Linotype
Library GmbH omezena buď na náhradu Software, nebo na
vrácení licenčního poplatku, který držitel licence za Software
zaplatil. Společnost Linotype Library GmbH a její autorizovaný
Linotype Library partner nezaručují a nemohou zaručovat
funkčnost nebo výsledky, které může držitel licence dosáhnout
pomocí Fontového software nebo dokumentace. Výše uvedená
ustanovení stanovují jedinou a výhradní náhradu za porušení
záruky ze strany společnosti Linotype Library GmbH, nebo jejích
dodavatelů. S výjimkou výše uvedené omezené záruky neposkytují
společnost Linotype Library GmbH, její autorizovaný Linotype
Library partner a jejich dodavatelé žádné záruky, výslovné ani
předpokládané, týkající se neporušení práv třetích osob, záruky
prodejnosti, nebo vhodnosti pro jakýkoliv konkrétní účel. Za
žádných okolností nebudou společnost Linotype Library GmbH, její
autorizovaný Linotype Library partner, nebo jejich dodavatelé
odpovědni vůči držiteli licence za žádné následné, náhodné nebo
zvláštní škody, včetně mimo jiné jakékoliv ztráty zisku, ztrát dat,
ztracených obchodních příležitostí, nebo ztracených úspor, a to i
v případech, kdy společnost Linotype Library GmbH byla o
možnosti vzniku takových škod informována, nebo za jakýkoliv
nárok vůči držiteli licence, vznesený jakýmkoliv třetím subjektem,
uplatňujícím takovéto škody, a to i v případech, kdy byla
společnost Linotype Library GmbH o možnosti vzniku takových
škod informována. V některých zemích nebo jurisdikcích není
dovoleno vyloučení omezení náhodných, následných nebo
zvláštních škod, takže výše uvedené vyloučení se na držitele
licence nemusí vztahovat. Některé státy nebo jurisdikce rovněž
neumožňují vyloučení předpokládaných záruk nebo omezení toho,
jak dlouho může předpokládaná záruka trvat, takže výše uvedená
omezení se na držitele licence nemusí vztahovat. V rozsahu
dovoleném zákonem jsou jakékoliv předpokládané záruky
omezeny na devadesát (90) dnů.
Některé jurisdikce neumožňují omezení předpokládaných záruk
v případech, kdy použití produktu vede k poranění nebo usmrcení
osob, takže taková omezení se na držitele licence nemusí
vztahovat. V takových jurisdikcích držitel licence souhlasí s tím,
odpovědnost společnosti Linotype Library GmbH nebo jejího
autorizovaného Linotype Library partnera nebo dodavatelů za
takové zranění nebo úmrtí nepřekročí částku sto tisíc EURO (€
100 000), za předpokladu, že takové jurisdikce omezení takové
odpovědnosti umožňují. Tato záruka poskytuje držiteli licence
zvláštní zákonná práva. Držitel licence může mít jiná práva, která
se v jednotlivých státech nebo jurisdikcích liší. S žádostí o další
informace o záruce by se měl držitel licence obrátit na
autorizované Linotype Library partnery, od kterých Fontový
software a Dokumentaci obdržel.
3.2 Držitel licence souhlasí s tím, že Fontový software a
Dokumentace a všechny jejich kopie jsou majetkem společnosti
Linotype Library GmbH; a že jejich design, struktura, uspořádání a
kódování jsou cenným majetkem společnosti Linotype Library
GmbH a/nebo jejích dodavatelů. Držitel licence souhlasí s tím, že
Fontový software a Dokumentace jsou chráněny německými
zákony o ochranných známkách a o designových patentech,
autorským právem a zákony o ochranných známkách jiných zemí a
mezinárodními úmluvami. Dále se držitel licence zavazuje zacházet
s Fontovým software a Dokumentací stejným způsobem, jako jiné
odpovídající produkty chráněné ochrannými známkami a
autorskými právy, jako jsou například knihy. S výjimkou případů,
které jsou v této smlouvě výslovně uvedeny, není kopírování
Fontového software a Dokumentace dovoleno. Veškeré kopie,
které držitel licence smí na základě této smlouvy pořídit, musí

obsahovat stejná ustanovení o autorských právech, ochranných
známkách a další ustanovení o majetkových právech, jako jsou ta,
uvedená na Fontovém software a v Dokumentaci. Držitel licence
prohlašuje, že nebude měnit, přizpůsobovat, nebo překládat
kódování Fontového software a že nebude reprodukovat,
rozkládat, zpětně sestavovat, měnit, upravovat, nebo jinak usilovat
o zjištění zdrojového kódu Fontového software. Držitel licence se
rovněž zavazuje používat ochranné známky související s Fontovým
software, a to v souladu s řádným užíváním Ochranných známek
(včetně určení vlastníka příslušné Ochranné známky). Ochranné
známky mohou být využity výhradně za účelem identifikace
tištěných dat z Fontového software. Držitel licence si je rovněž
vědom, že software není nikdy zcela bez chyb a že Fontový
software může tudíž obsahovat chyby, které mohou ovlivnit jeho
funkčnost a činnost.
3.3 Nároky, překračující výše uvedené záruční nároky, například
náhrada za prostoje, ztrátu výroby, ztrátu materiálu, a další
nepřímé škody, jsou výslovně vyloučeny, pokud takové škody
nebyly vědomě nebo úmyslně vyvolány nebo způsobeny hrubou
nedbalostí na straně společnosti Linotype Library GmbH.
Odpovědnost se nepřebírá v rozsahu, v němž škoda nevyplývá z
hrubého nedbalostního porušení povinností společnosti Linotype
Library GmbH nebo není způsobena záměrným, vědomým nebo
hrubě nedbalým porušením povinností ze strany jednoho z
právních zástupců nebo zmocněných zástupců společnosti
Linotype Library GmbH.
Článek 4
Ukončení platnosti Licenční smlouvy
4.1 Licence a právo na užívání, udělené na základě odstavce 1.2,
se v případě porušení této smlouvy stanou ihned zrušenými a
neplatnými.

Závěrečná ustanovení
6.1 Tato smlouva včetně jejích příloh, které jsou součástí této
smlouvy, představuje dohodu mezi smluvními stranami. Vzájemné
ústní dohody neexistují. Jakékoliv ústní dohody jsou pro
společnost Linotype Library GmbH závazné pouze tehdy, pokud
jsou uvedené ústné dohody společností Linotype Library GmbH
potvrzeny a přijaty v písemné formě.
6.2 Změny této smlouvy musí být provedeny písemnou formou.
Tento požadavek se vztahuje i na změny tohoto ustanovení o
písemné formě.
6.3 Všechny spory vzniklé na základě této smlouvy nebo
v souvislosti s touto smlouvou a dále všechny spory ohledně plnění
této smlouvy se řídí výhradně zákony Spolkové republiky
Německo. Práva a závazky smluvních stran vycházejí z německého
právního řádu, a to i v případě, že k uplatnění nebo k porušení
smlouvy dojde v jiné zemi. Místem jurisdikce bude Frankfurt nad
Mohanem, Německo.
6.4 Neplatnost nebo neúčinnost jednoho nebo více ustanovení
této smlouvy neovlivňuje platnost zbytku smlouvy a ostatní
zbývající ustanovení tedy zůstávají nedotčena. Neplatné
ustanovení bude nahrazeno ustanovením, které bude v souladu se
zákonem a které se bude blížit neplatnému ustanovení a
ekonomickým zájmům, zamýšleným smluvními stranami.
6.5 Tato smlouva se neřídí »Konvencí OSN o smlouvách o
mezinárodním prodeji zboží« (United Nations Convention on
Contracts for the International Sale of Goods (CISG).«

4.2 Pokud držitel licence nebo jeden ze zaměstnanců držitele
licence poruší dohodnutou licenci a právo na užívání a/nebo
majetková práva společnosti Linotype Library GmbH, je společnost
Linotype Library GmbH oprávněna vypovědět s okamžitou
účinností platnost licence a práva na užívání. Společnost Linotype
Library GmbH si výslovně vyhrazuje právo na uplatnění jakýchkoliv
dalších nároků (konkrétně informací, náhrady škod atd.).
4.3 V případě ukončení platnosti smlouvy je držitel licence povinen
vymazat a vrátit společnosti Linotype Library GmbH původní
Fontový software dotčený takovým ukončením včetně
Dokumentace a všech kopií.
Na žádost společnosti Linotype Library GmbH je držitel licence
povinen poskytnout písemné ujištění o tom, že uvedené vymazání
bylo provedeno.
4.4 V případě, že se kterékoliv jednotlivé ustanovení této smlouvy
stane neplatným nebo nevymahatelným, všechny ostatní
podmínky této smlouvy zůstávají v plné platnosti a účinnosti.
Článek 5
Závazek zachování mlčenlivosti
5.1 Držitel licence je povinen podniknout všechny nezbytné kroky
s cílem zabránit neoprávněnému přístupu k Fontovému software a
k jeho kopiím.
5.2 Pokud držitel licence poskytne svým zaměstnancům nebo
zástupcům přístup k Fontovému software, musí držitel licence tyto
osoby výslovně informovat o obsahu a podmínkách licenčních
ustanovení pro příslušný Fontový software a uvedení zaměstnanci
nebo zástupci se musí zavázat k dodržování těchto ustanovení a
podmínek.

Preamble:
This license agreement for Font Software becomes a legally
binding contract between the licensee and Linotype Library GmbH
when the licensee agrees to the Terms of Condition in an
electronic delivery method or purchases the Font Software on a
storage medium and opens the packaging containing the
typefaces.
If the licensee refuses to accept a contractual obligation through
this license agreement, he is not permitted to access, use or
download the Font Software. The licensee should thoroughly and
carefully read through the complete license agreement before
agreeing to the conditions specified here.
Article 1
License and Usage Rights
1.1 The Font Software underlying this contractual agreement is the
intellectual property of the Heidelberger Druckmaschinen AG
and/or its licensors.
Heidelberger Druckmaschinen AG has authorized Linotype Library
GmbH with the exclusive sale, distribution and licensing of these
rights. The term »Font Software« includes any and all updates,
upgrades, expansions, modified versions and working copies of
the Font Software to which the licensee, i.e. a natural person and
legal person or, within the scope of a legal person, a subsidiary
with majority share, has accordingly been granted a license. The
Font Software remains and shall remain, now and in the future,
the property of Heidelberger Druckmaschinen AG and Linotype
Library GmbH.
1.2 Upon full payment of the agreed upon usage fee, Linotype
Library GmbH grants the licensee the non-exclusive, nontransferable right to simultaneously use or store the Font Software
– provided said software has been released at time
of delivery or upon payment made by the licensee - on a
maximum of five CPUs (Workstations) at one single geographical
location stipulated by the licensee. In the event that extensions to
the above-mentioned restriction become necessary, the licensee
has to purchase an extended license. (see appendix 2)
The licensee may install the Font Software on a single file server
for Use on a single local area network (LAN) only when the Use of
such Font Software is limited to the Workstations and printers that
are part of the licensed Unit of which the server is part.

For the purpose of determining the proper number of
Workstations for which a license is needed, the following example
is supplied for illustration purposes only: If there are
100 Workstations connected to the server, with no more than
15 Workstations either using this Font Software currently, but the
Font Software will be used on 25 different Workstations at various
points in time, a site license must be obtained creating a licensed
Unit for 25 Workstations.
The Font Software may not be installed or used on a server that
can be accessed via the Internet or other external network system
(a system other than LAN) by Workstations which are not part of a
licensed Unit.
If the Font Software is intended to be used for commercial
purposes, each individual license permits one additional usage
(installation) on a personal home or portable computer.
For the exclusive purpose of data backup, additional backup
copies of the Font Software can be made.
1.3 Transferring the license to a third party is essentially not
permitted. By way of exception, the licensee is authorized to
transfer the usage rights and license to a third party only upon
compliance with all of the following conditions: (see appendix 1)
The third party has expressly declared to the licensee to strictly
and unrestrictedly submit and adhere to the conditions of this
license agreement for Font Software. In the event of transfer of
the license to a third party, the licensee agrees and is obligated to
refrain from further usage of the Font Software, and, regardless of
where it is located, agrees and is obligated to delete said software
and is not permitted to retain any copies, in whole or in part, of
such.
1.4 For the exclusive purpose of outputting certain files, the
licensee is permitted to transfer a copy of the Font Software which
is used for creating the pertinent file to a commercial printer or
another service company. In the event of any text modification,
the service company is required to possess its own license. The
licensee has to inform the commercial printer / service company
about the content of this License Agreement.
1.5 Embedding of the Font Software into electronic documents or
Internet pages is only permitted under the absolute assurance that
the recipient cannot use the Font Software to edit or create a new
document (read-only). It must be ensured that the Font Software
cannot be fully or partially extracted from said documents.

1.6 The licensee may electronically distribute Font Software
embedded in a »Personal or Internal Business Use« document only
when the Font Software embedded in such document is in a static
graphic image (for example, a »gif«) or an embedded electronic
document, and is distributed in a secure format that permits only
the viewing and printing (and not the editing, altering, enhancing,
or modifying) of such static graphic image or embedded
document. The licensee may not embed Font Software in a
Commercial Product without a separate written license from
Linotype Library GmbH, and the licensee may not embed Font
Software in an electronic document or data file for any reason
other than his own Personal or Internal Business Use.
1.7 If the licensee intends to edit or modify a document containing
the embedded Font Software, a request must be made to Linotype
Library GmbH. Linotype Library GmbH or an authorized sales and
distribution partner will then conclude a expansion/embedding
license agreement for said purpose. This expansion/embedding
license agreement is subject to an additional fee. (see appendix 3)
Article 2
Exclusion of Other Usage
2.1 Subject to the provisions in sub-sections 1.3 and 1.4 of this
agreement, selling, lending or otherwise transferring the Font
Software to a third party or parties is strictly prohibited. In addition,
transferring (see appendix 1) the Font Software as a component or
sub-component of other products, e.g. electronic documents or
sublicenses, to a third party or parties is also strictly prohibited.
2.2 Subject to the provisions in sub-sections 2.3 and 2.4 of this
agreement, the following is prohibited: modifying the Font
Software, merging it with other software programs, decompiling it,
using modules from said software for one's own developments or
using technical solutions contained in the Font Software for
purposes other than operation on the licensee's own computers.
2.3 Exceptions to subsection 2.2 are only permitted provided they
are essential to obtaining the necessary information for
establishing interoperability of the software with other programs,
and provided this information is neither published nor accessible in
any other form and if the licensee is unable to obtain said
information from Linotype Library GmbH or its authorized
distributors or appointed agents. In this case, the licensee shall
inform Linotype Library GmbH in writing as to which portions of
the software the licensee is decompiling.
2.4 Modifying the Font Software is prohibited, even in the event
that it is necessary for fulfilling personal design requirements. If
the licensee wants to make modifications, consent and permission
has to be obtained from Linotype Library GmbH. Non-compliance
with this provision voids any and all support rights and warranties
granted by Linotype Library GmbH and represents a violation and
breach of this license agreement.
Furthermore, if the licensee or a third party or parties effect
modifications to the Font Software despite the prohibition against
such modifications, Linotype Library GmbH becomes the owner of
that modified data.
Specifically, it is prohibited to change or modify the
Font/Trademark names used as identifying tags in the Font
Software in any form or manner. If such changes or modifications
become necessary, prior written consent has to be obtained from
Linotype Library GmbH.
Article 3
Warranty and Liability
3.1 Upon receipt of the Font Software by the licensee, Linotype
Library GmbH grants a 90-day warranty guaranteeing that the Font
Software is essentially free from material defect in accordance
with the Documentation. To make a warranty claim, the licensee
has to return the Font Software, including a copy of the sales

receipt within the 90-day warranty period to the sales and
distribution partner from which the licensee obtained it. If the Font
Software is not essentially free from material defect in accordance
with the Documentation, the entire and exclusive liability and
remedy shall be limited to either, at Linotype Library GmbH's
option, the replacement of the Software or the refund of the
license fee that the licensee paid for the Software. Linotype Library
GmbH and its authorized Linotype Library partner do not and
cannot warrant the performance or results the licensee may obtain
by using the Font-Software or Documentation. The foregoing
states the sole and exclusive remedies for Linotype Library
GmbH's or its suppliers' breach of warranty. Except for the
foregoing limited warranty, Linotype Library GmbH, its authorized
Linotype Library partner, and its suppliers make no warranties,
express or implied, as to non-infringement of third party rights,
merchantability, or fitness for any particular purpose. In no event
will Linotype Library GmbH, its authorized Linotype Library partner,
or its suppliers be liable to the licensee for any consequential,
incidental or special damages, including without limitations any
lost profits, lost data, lost business opportunities or lost savings,
even if Linotype Library GmbH has been advised of the possibility
of such damages, or for any claim against the licensee by any third
party seeking such damages even if Linotype Library GmbH has
been advised of the possibility of such damages.
Some states or jurisdictions do not allow the exclusions of
limitations of incidental, consequential or special damages, so the
above exclusion may not apply to the licensee. Also, some states
or jurisdictions do not allow the exclusions of implied warranties
or limitations on how long an implied warranty may last, so the
above limitations may not apply to the licensee. To the extent
permitted by law, any implied warranties are limited to ninety (90)
days.
Some jurisdictions do not permit a limitation of implied warranties
where the product results in injury or death so that such
limitations may not apply to the licensee. In those jurisdictions, the
licensee agrees that Linotype Library GmbH's or its authorized
Linotype Library partner or suppliers' liability for such injury or
death shall not exceed One Hundred Thousand EURO (€ 100,000),
provided that such jurisdictions permit a limitation of such liability.
This warranty gives the licensee specific legal rights. The licensee
may have other rights that vary from state to state or jurisdiction
to jurisdiction. For further warranty information, the licensee
should contact the authorized Linotype Library partners from
which he received the Font-Software and Documentation.
3.2 The licensee agrees that the Font Software and
Documentation, and all copies thereof, are owned by Linotype
Library GmbH; and its design, structure, organization and
encoding are valuable property of Linotype Library GmbH and/or
its suppliers. The licensee agrees that the Font Software and
Documentation are protected by German trademark and design
patent laws, by the copyright and trademark laws of other
countries, and by international treaties. In addition, the licensee
agrees to treat the Font Software and Documentation in the same
manner corresponding to other copyrighted and trademarkprotected products, e.g. books. With the exception of the points
explicitly mentioned here, copying the Font Software and
Documentation is not permitted. Any and all copies that the
licensee is permitted to produce on the basis of this agreement
have to have to contain the same copyright, trademark and other
property clauses as those on or contained in the Font Software
and Documentation. The licensee declares not to modify, adapt or
translate the encoding of the Font Software, nor reproduce,
decompile, disassemble, change, modify or otherwise attempt to
reveal the source code of the Font Software. The licensee also
agrees to use the Trademarks that are connected to the Font
Software, accordingly to accept usage of the Trademarks
(including the identification of the owner of the respective
Trademark). Trademarks can be used solely for the purpose of
identifying printed data from the Font Software.
The licensee is also aware that software is never completely errorfree and that the Font Software may therefore contain errors
which can affect functionality and operation.

3.3 Claims exceeding the preceding warranty claims, e.g.
compensation for idle time, loss of production, waste of material
and other indirect damage, are explicitly excluded, provided said
damage was not willfully or intentionally brought about or caused
by gross negligence on the part of Linotype Library GmbH.
Liability is not assumed insofar as the damage does not stem from
a grossly negligent breach of duty by Linotype Library GmbH or is
not caused by a willful, intentional or grossly negligent breach of
duty on the part of one of Linotype Library GmbH's legal
representatives or vicarious agents.
Article 4
Termination of License Agreement
4.1 The license and usage right guaranteed under subsection 1.2
shall become immediately null and void in the event of a breach of
this contract.
4.2 If the licensee or one of the licensee's employees breaches the
agreed-upon license and right of use and/or property rights of
Linotype Library GmbH, Linotype Library GmbH has the right to
terminate the license and right of use, with termination taking
immediate effect. Linotype Library GmbH reserves the explicit
right to assert any further claims (specifically information,
compensation for damages, etc.).
4.3 In the event of termination, the licensee is obligated to delete
and return to Linotype Library GmbH the original Font Software
affected by and pertaining to the termination, including
Documentation and all copies.
At the request of Linotype Library GmbH, the licensee is obligated
to provide written assurance that said deletion has occurred.
4.4 In case single regulations of this contract become invalid or
unenforceable, all other conditions of this contract will remain in
full force and effect.
5.2 If the licensee grants his or her employees or representatives
access to the Font Software, the licensee has to specifically inform
them of the content and conditions of the license provisions for
the relevant Font Software and put said employees or
representatives under the obligation of compliance with those
provisions and conditions.
Article 6
Final Provisions
6.1 This contract, including its attachments, which are a
component of this contract, represents an agreement between the
parties. Verbal collateral agreements do not exist. Any verbal
agreements are only binding for Linotype Library GmbH if said
verbal agreements have been acknowledged and confirmed in
writing by Linotype Library GmbH.
6.2 Changes to this contract require written form. This also applies
to changes to this written form clause.
6.3 Any and all disputes arising from, or in connection with, this
contract as well as any dispute over the materialization of this
contract are exclusively subject to the law of the Federal Republic
of Germany. The rights and obligations of the parties arising from
this contract are based on German law, even in the event that the
exertion or breach of contractual rights takes place in a foreign
country. Place of jurisdiction is Frankfurt/Main, Germany.
6.4 The invalidity or inoperativeness of one or more provisions of
this contract does not affect the validity of the rest of the contract
and the remaining other provisions shall thereby remain
unaffected. An invalid provision shall be replaced by a provision
that is permitted by law and which approaches the invalid
provision and economic interests intended by the parties.
6.5 This agreement is not governed by the »United Nation
Convention on Contracts for the International Sale of Goods
(CISG).«
Article 5
Confidentiality Obligation
EULA E 03/2003
5.1 The licensee is obligated to undertake all necessary steps to
prevent unauthorized access to the Font Software and to any
copies of such.
